These Terms of Service constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and Elandz Ltd (“Company,” “we,” “us,” or “our”), concerning your access to and use of our application (“App”) available through the Stripe Marketplace and any related websites, services, applications, or content (collectively, the “Services”).

By accessing or using our Services, you agree that you have read, understood, and agree to be bound by all of these Terms of Service. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING OUR SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We reserve the right to make changes or modifications to these Terms at any time and for any reason at our sole discretion. We will alert you about any changes by updating the “Last Updated” date of these Terms, and you waive any right to receive specific notice of each such change. Please ensure that you check these Terms every time you use our Services so that you understand which Terms apply.

Our Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

 

1. Intellectual Property Rights

Unless otherwise indicated, the Services and all content therein, including but not limited to text, graphics, logos, images, audio clips, data compilations, software, and the compilation thereof (collectively, the “Content”), are the proprietary property of Elandz Ltd or our licensors and are protected by international copyright and trademark laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services and Content for your personal, non-commercial use. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Content without our prior written consent.

 

2. User Representations

By using the Services, you represent and warrant that:

  • You have the legal capacity and agree to comply with these Terms.
  • You are not a minor in the jurisdiction in which you reside.
  • You will not access the Services through automated or non-human means.
  • You will not use the Services for any illegal or unauthorized purpose.
  • Your use of the Services will not violate any applicable law or regulation.

 

3. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. You agree not to:

  • Engage in any unauthorized collection of user data.
  • Use the Services to advertise or offer to sell goods and services.
  • Circumvent, disable, or otherwise interfere with security-related features.
  • Engage in unauthorized framing of or linking to the Services.
  • Trick, defraud, or mislead us or other users.
  • Make improper use of our support services.
  • Use the Services in a manner inconsistent with any applicable laws or regulations.
  • Upload or transmit viruses or other malicious code.
  • Reverse engineer any aspect of the Services.

 

4. User-Generated Content

The Services may allow you to create, submit, post, or transmit content, including but not limited to text, photos, videos, or other materials (“User Content”). You are solely responsible for your User Content and the consequences of posting or publishing it.

By submitting User Content, you represent and warrant that:

  • You own or have the necessary licenses to use and authorize us to use all intellectual property rights in and to your User Content.
  • Your User Content does not violate any laws or infringe the rights of any third party.
  • Your User Content is not defamatory, libelous, obscene, or otherwise objectionable.

We have the right, but not the obligation, to monitor and edit or remove any User Content.

 

5. Contribution License

By posting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Services and our business.

You retain all your ownership rights in your User Content.

 

6. Submissions

Any feedback, comments, or suggestions you may provide regarding the Services (“Submissions”) are entirely voluntary, and we will be free to use such Submissions as we see fit without any obligation to you.

 

7. Third-Party Websites and Content

Our Services may contain links to third-party websites, services, or content that are not owned or controlled by Elandz Ltd. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

 

8. Site Management

We reserve the right to:

  • Monitor the Services for violations of these Terms.
  • Take appropriate legal action against anyone who violates the law or these Terms.
  • Refuse, restrict access to, or disable your access to the Services.
  • Remove or disable any content that is excessive in size or burdensome.

 

9. Privacy Policy

We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Terms.

 

10. Term and Termination

These Terms remain in full force and effect while you use the Services. We may suspend or terminate your rights to use the Services at any time for any reason at our sole discretion, including for any use of the Services in violation of these Terms.

Upon termination of your rights under these Terms, your account and right to access and use the Services will terminate immediately.

 

11. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We are not liable for any modification, suspension, or discontinuance of the Services.

 

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Finland, without regard to its conflict of law principles.

 

13. Dispute Resolution

Informal Negotiations

Before initiating any arbitration or court proceeding, you agree to first contact us at terms@elandz.com to attempt to resolve the dispute informally.

Binding Arbitration

Any disputes arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the Arbitration Institute of the Finland Chamber of Commerce.

Exceptions

Notwithstanding the foregoing, we reserve the right to seek injunctive relief in any competent court to prevent or restrain infringement of our intellectual property rights.

 

14. Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors and to change or update the information at any time without prior notice.
